Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OrbitFinance mobile application and related services (collectively, the "Service") operated by Orbit Tech LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.

1. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using OrbitFinance, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You may register using your email address, Google Sign-In, or Apple Sign-In. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access to or use of your account
• Ensuring that the information associated with your account is accurate and up to date

We reserve the right to disable any account at any time if we reasonably believe you have violated these Terms.

3. Description of Service

OrbitFinance is a personal finance management application that provides:

• Aggregation of financial account data from linked institutions via Plaid
• Automated transaction tracking and categorization
• Budget creation and spending analysis
• Investment portfolio tracking
• AI-powered financial insights and recommendations
• Bill tracking and reminders
• Savings goal tracking
• Shared financial visibility through sharing groups
• Push notifications for financial alerts

4. Financial Data and Third-Party Services

4.1 Plaid Integration

The Service uses Plaid Inc. to access your financial account data. By connecting your financial accounts through OrbitFinance, you authorize us and Plaid to access and retrieve your financial information from your designated financial institutions. Your use of Plaid is subject to the Plaid End User Services Agreement.

4.2 Data Accuracy

Financial data displayed in OrbitFinance is sourced from your linked financial institutions via Plaid. While we strive to display accurate and current information, we do not guarantee the accuracy, completeness, or timeliness of any financial data. Discrepancies may occur due to delays in processing by financial institutions, Plaid, or our systems. You should always verify financial information directly with your financial institution.

5. Not Financial Advice

We strongly recommend that you consult with qualified financial, tax, and legal professionals before making significant financial decisions. The AI insights feature provides general analysis based on your spending patterns and is intended for informational purposes only.

Orbit Tech LLC is not a registered investment adviser, broker-dealer, financial planner, or financial institution. We do not provide personalized investment advice or manage your money.

6. User Responsibilities

When using the Service, you agree to:

• Provide accurate and truthful information when creating your account and linking financial institutions
• Use the Service only for lawful purposes and in compliance with all applicable laws
• Not attempt to access data belonging to other users or interfere with the Service's operation
• Not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Not use automated tools, bots, or scripts to access the Service without our express permission
• Not transmit any malware, viruses, or harmful code through the Service
• Not use the Service to conduct any fraudulent, illegal, or unauthorized activity
• Promptly disconnect financial accounts if you no longer wish to share data with the Service

7. Sharing Groups

OrbitFinance allows you to create and join sharing groups to share financial visibility with family members, partners, or other trusted individuals. By creating or joining a sharing group:

• You voluntarily choose which accounts to share with the group
• Transaction data from shared accounts is copied and made visible to other group members
• You are responsible for the decision to share financial data and understand that group members will be able to view the shared information
• You may remove shared accounts or leave a group at any time, which will remove your shared data from the group
• We are not responsible for how other group members use the financial information you choose to share

8. Intellectual Property

The Service, including its design, features, functionality, content, trademarks, and logos, is owned by Orbit Tech LLC and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose in accordance with these Terms.

You may not:

• Copy, modify, or distribute any part of the Service
• Use our trademarks or branding without prior written consent
• Create derivative works based on the Service
• Use the Service for any commercial purpose other than your personal financial management

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORBIT TECH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service
• Any loss of profits, revenue, data, or business opportunities
• Any financial losses resulting from reliance on data, insights, or recommendations provided by the Service
• Any unauthorized access to or alteration of your data
• Any interruption or cessation of the Service
• Any errors, inaccuracies, or omissions in financial data displayed by the Service
• Actions of third-party service providers, including Plaid and financial institutions

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Financial data will be accurate, complete, or current at all times
• AI-generated insights will be accurate, relevant, or suitable for your specific situation
• Defects in the Service will be corrected
• The Service will meet your specific requirements

11. Indemnification

You agree to indemnify, defend, and hold harmless Orbit Tech LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights
• Financial decisions you make based on information provided by the Service

12. Account Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at support@orbithub.co. Upon termination, we will disconnect your linked financial accounts, cease data synchronization, and delete your personal and financial data within 30 days, subject to our data retention obligations described in our Privacy Policy.

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause and with or without notice, if:

• You violate these Terms or any applicable law
• Your use of the Service poses a security risk or may cause harm to other users
• We are required to do so by law or a governmental authority
• We discontinue the Service or any part thereof

12.3 Effects of Termination

Upon termination, your right to use the Service will immediately cease. Sections relating to intellectual property, limitation of liability, disclaimer of warranties, indemnification, and dispute resolution will survive termination.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the app, updating the "Last updated" date, or sending you a notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the State of Delaware.

YOU AND ORBIT TECH LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orbit Tech LLC regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral, regarding the Service.
